PSD3 and Payment Services Regulation (PSR) – A new EU legislation replacing PSD2 regarding Payment Services

On 28 June 2023 the European Commission published its proposed revisions to the EU Payment Services Legislation (PSD2) as well as a proposal on Open Finance/data access in the financial services sector beyond open banking/payment accounts in the form of a new Open Finance framework called “FIDA” (the “Payment Regulations”).
For further reading you will find the proposals here. The time frame for EU legislations from proposal to adoption tends to be quite extensive and the Payment Regulations are no exception: A reasonable guess is that they will be adapted in final form before Q2 2025. The legislation will enter into force 20 days later and the Member States will have 18 months to implement PSD3 into national legislation whereas market participants will have 18 months to comply with the PSR which in its capacity as regulation will be directly applicable.
The Payment Regulations contain many news and for all details we refer to the link above. The following is a summary of the amendments which are intended to improve the functioning of the payment markets in EU:

• Enhancing measures to combat payment fraud;

• Further enhancing consumer information and rights;

• Enhancing the operation of open banking, particularly in terms of data interface performance, eliminating barriers to open banking services, and enhancing consumer control over their data access permissions;

• Improving the accessibility of cash;

• Granting non-bank payment service providers (PSPs) access to all EU payment systems, under suitable safeguards, and affording them the privilege of holding a bank account;

• Strengthening the authority of national competent bodies to enforce regulations and simplifying the implementation of rules that clarify various aspects;

• Consolidating the legal frameworks governing electronic money and payment services.

With the introduction of PSD2, Payment Institutions and E-money Issuers had to apply for re-authorisation for these actors to provide payment services or issue e-money. The same requirement will apply under PSD3. The validity of existing licences will however be “grandfathered” until 30 months after entry into force on the condition that the application for a licence under PSD3 is made at least 24 months after PSD3 enters into force.
We also want to draw your attention to the fact that the definition of 'technical service provider’ is amended to mean a provider of services which, although not being payment services, is necessary to support (under PSD2: merely “support”) the provision of payment services, without the provider of technical services entering at any time into possession of the funds to be transferred. Our experience has shown that it may be difficult to determine whether an actor is a technical service provider (which is not subject to a license or registration) or in fact a payment services provider (which is required to hold a license or registration). The borderline will, with the introduction of PSD3, be somewhat sharper.

Both the Swedish and the Danish Data Protection Authorities agreed on something: The focus is back to the basics. Ensure that you have a record of processing activities in place, data processing agreements where required, as well as processes to handle data subject requests in a timely manner.

Marcus Appeltofft
 
Our latest star lawyer at Synch is Marcus Appeltofft, a graduate from Uppsala University. Marcus’ passion lies within the area of strategies and compliance in the forefront of digital development.

“It’s a compelling field that demands a combination of legal knowledge, creativity and imagination,” says Marcus.

Living in southern Stockholm with his family, Marcus is an outdoor enthusiast. In winter you can find him on the slopes skiing or snowboarding, and in the summer he loves rock climbing.

When he joined Synch, Marcus had set high expectations. However, these have been surpassed thanks to the warm and friendly welcome he’s received. Not only have his new colleagues guided him through the business aspects of Synch, but they have also made sure he has visited the best lunch places nearby.

“I am looking forward to working closely alongside my motivated and highly skilled colleagues and learning from their expertize. Hopefully, I will be able to share some of what I’ve learned over the years,” says Marcus.

With five years experience in digital law, Marcus is a much-welcomed addition to the team at Synch.
Kristin Tell
 
“I feel there’s room to develop as a lawyer here at Synch, and I am inspired by being surrounded by such knowledgeable and dedicated professionals.”

Kristin Tell is Synch’s newest recruit in the legal department. She recently graduated from university with a Master of Law degree, and her main interests lie within the rapid development of IT law and intellectual property. She has an avid interest in music, an important part of her life.

Deciding to become a lawyer during 4 months studying French in France, Kristin started university the following semester – and hasn’t looked back. She loves how the jurisprudence is constantly developing to reflect and keep up with changes in our society.

Having been a summer intern at Synch, she’s familiar with the organization and enjoys the modern and welcoming atmosphere. As her first job after graduation, Kristin is eager to dig into the real-world problems of Synch’s clients and learn as much as possible from her co-workers.
Annika Alexanderson

"Synch has a great atmosphere, wonderful people and an organized structure – just what I have been searching for. I look forward to developing the finance department and being part of Synch's continued success."

Meet Annika Alexanderson, Synch's new finance manager with almost 30 years of financial expertise. With a background as a CFO and an experienced accountant, she will lead and continue to develop Synch's finance department.

Having worked several years at a medical clinic, Annika was keen to explore other types of businesses. A few years at a law firm led to a new opportunity to work within the IT and customer experience sector. However, she longed to return to the exciting and dynamic legal sector. That's when she found Synch.

But she's not all office work. Annika loves outdoor life. In the summer, she can be found exploring the Stockholm archipelago and in winter, cross-country skiing with friends.
Clara Löfgren
 
Clara Löfgren has recently completed her law studies at Uppsala University where her final thesis addressed the implications of the new FDI regulations in the field of business transactions.

Her main interests lie within M&A and corporate law, where she thrives in the fast-paced, high impact environment. During her studies Clara obtained legal advisory experience thru working at an international law firm where she wrote court submissions and assisted in various legal investigations. She also completed an internship within the M&A group at Wistrand Advokatbyrå which provided valuable insights and a deepened interest for law and the business sector. Besides her interest in law, Clara is also passionate about her horses, being an important part of her life.

At Synch, Clara was immediately struck by the warm yet professional environment and the dedication to further develop the lawyers personal skills and capacity, which made the law firm an ideal choice.

“The collaborative atmosphere, proactive mindset, and dedication to help everyone reach their full potential are particularly appealing,” Clara says.

“Being a part of Synch, I look forward to learn as much as possible, develop as a lawyer and work together with my dedicated colleagues to meet our clients’ requests and to exceed their expectations,” Clara says.

We were invited by our client Grangex/Grängesberg to visit one of Sweden's mining operations in Dannemora Gruva. We were all amazed by the construction and sheer size of this mine. It was one of those moments when you take a step back in awe and reflect over our capabilities, when we put our minds to it.
