I am happy to share this year's first edition of SynchZipped. It has been a really inspiring start to 2026 with a lot of exciting work for our clients.
The recognition of our team continues to grow, with Synch once again recognised in The Legal 500 EMEA 2026 across all submitted practice areas, including a Tier 2 promotion in Intellectual Property and individual recognition for Mathilda Nordmark as a Leading Partner in IP, alongside rankings in WTR 1000 2026 for Trademark Law and a Band 3 ranking for Johan Ragnar and Synch in Chambers FinTech Legal. Sofia Tångelin was featured on Breakit's list of board members for the third consecutive year. These honours reflect the deep dedication and ambition within the Synch team.
AGRD continued to grow this quarter, welcoming Wigge and BOKWALL RISLUND as new partner firms. At the AGRD Summit 2026, eight firms came together under one platform to shape the future of legal services — a milestone moment for collaboration across the Nordics.
We're thrilled to welcome several new colleagues to Synch, including Sara Edlund as Head of Services, along with Johan Hedlund, Linda Mirrafati, and two talented recent law graduates Hannah Hallgreen and Matilda Kinnerfors . Each of them brings fresh thinking and a strong drive to grow; exactly the kind of energy that makes us better.
Through SynchHeart, we launched a new partnership with Mattecentrum, supporting free mathematics education for young people across Sweden. We have also entered into a partnership with Nästa Generation Sverige to support SAO-jobben, providing students in underserved communities with their first paid work experience. We have just welcomed our first student from the initiative, Lejla, who will join us and support our First Impression function.
As we move into Q2, there's plenty in the pipeline. We look forward to sharing more with you in the coming months.
Thank you to our clients, partners, and friends for your continued trust and collaboration. We're glad to have you with us.
Enjoy your reading!
Warm regards,
Jim

New rules under the Distance and Off-Premises Contracts Act are expected to enter into force on 19 June 2026, strengthening consumer protection for contracts concluded via websites and apps. A key change is the requirement for a “withdrawal button” that allows consumers to easily exercise their right of withdrawal electronically during the withdrawal period. The rule applies to traders entering distance contracts online where a right of withdrawal exists, including both financial services and other goods or services. The function must be clearly visible, easy to use, allow the consumer to confirm contract details, and ensure the trader promptly sends an electronic acknowledgement of receipt. Non-compliance may lead to sanctions under the Marketing Practices Act. Businesses should review their digital interfaces, implement a compliant withdrawal function, and update consumer information and terms before the rules take effect.

From 1 March, conducting financial leasing activities without registration or a license from the Swedish Financial Supervisory Authority (SFSA) will become a criminal offence. The new law introduces the offence “illegal financial activities”, meaning companies that intentionally or through gross negligence conduct financial activities without the required authorisation may face fines or, in serious cases, up to six years’ imprisonment. Businesses offering leasing must therefore carefully assess whether their arrangements qualify as financial leasing, which requires SFSA registration, or operational leasing, which does not. Since many agreements contain elements of both models, the classification must be assessed case by case. Read the full artilce here

U.S. flips, where European startups establish a U.S. holding company—can unlock capital and growth, but also introduce significant legal, tax, and structural complexity. Common risks include unclear employment setups, gaps in IP ownership, and misaligned option plans that create unintended tax consequences. Many founders also pursue flips for the wrong reasons, adding cost and complexity without clear strategic value. To get it right, companies must align structure with operations, secure proper IP and employment frameworks, and design compliant incentive schemes. With the right setup, a U.S. flip can drive growth without it, it can quietly destroy value. Read the full artilce here

The Swedish Financial Supervisory Authority (SFSA) has launched the Innovation Compass, a new initiative aimed at supporting innovation through structured dialogue with the financial sector.
The initiative allows companies to submit proposals on regulatory challenges, after which the SFSA selects focus areas and engages with industry participants to provide targeted, non-binding guidance. It is intended to improve clarity and create better conditions for innovation, without replacing existing licensing or regulatory requirements.
Unlike regulatory sandboxes, the Innovation Compass does not involve testing products, but instead focuses on identifying common challenges and issuing broader guidance to the market.Companies can submit proposals until 31 January 2026. Read the full artilce here

A few weeks ago, we brought the whole team together for our Out of Office spring edition. We kicked things off with a conference at the office, focusing on our 2026 strategy. The day included group discussions on how to use AI effectively and responsibly, exploring what we need to put in place to make it a real driver of value. After a day of insights and collaboration, we switched gears and headed to the bowling lanes. Plenty of competition, laughs, and team spirit followed before we wrapped up the evening with a well-deserved dinner. A strong reminder of the importance of stepping back, aligning as a team, and building momentum together for what’s ahead.
