December 2025

Welcome to SynchZipped

As the year winds down, I find myself reflecting on a season marked by growth, new connections, and meaningful progress.

One moment I am especially proud of was announcing Mathilda Nordmark as Synch’s newest partner. Since joining us in 2018, Mathilda has played a key role in shaping our IP and employment law teams. Her insight, clarity, and leadership have had a lasting impact on both our practice and our clients, and I am confident she will continue to contribute strongly to our business in her new role.

The most noticed announcement was, of course, the creation of AGRD, and we are proud to continue shaping the legal industry by being one of the founding firms of this initiative.

2025 also brought well-earned recognition for our team, and we increased the number of recognized lawyers with a 100%. These honours reflect the trust placed in us and the dedication of the people behind every case, deal, and collaboration.

I was also excited to launch a new partnership with SSE Business Lab. Through this collaboration, we will support founders from one of Sweden’s leading startup and scaleup incubators, providing expert legal guidance from incorporation through scaling and international growth.

Through our SynchHeart initiative, we supported Nästa Generation Sverige in expanding SAO-jobben, helping students in underserved communities access their first paid work experience during school.

As the holiday season begins, we are proud to continue our tradition of giving back by supporting children and families in need together with Hedvig Eleonora Church.

Finally, to all our clients, collaborators, and friends, thank you for being part of this year with us. We look forward to continuing the journey in 2026.

Wishing you a warm and restful holiday season.

Warm regards,
Jim Runsten

The US Flip: what startups need to know before crossing the Atlantic

Expanding into the US is a major milestone for many Nordic startups, and more early-stage founders are now considering a "US Flip" to attract American investors and position themselves for long-term success.

A US Flip involves restructuring so that a newly formed Delaware C-Corp becomes the parent company of your existing Swedish entity. This can help facilitate US venture capital, employee incentive plans, and greater market credibility.

But timing, legal structure, tax planning, and operational alignment are all key. At Synch, we help startups navigate the Flip process strategically, together with trusted US legal and tax partners.

From PSD2 to PSR and PSD3:
The Next Chapter in European Payments

The Payment Services Regulation (PSR) officially came into force in November 2025, and it’s set to reshape the payments landscape across Europe.

Alongside the upcoming PSD3, this new framework brings stronger fraud protection, clearer fees, improved open banking, better access to cash, and finally real human support for payment issues.

Most rules will apply from mid-2027, but if your business is part of the payments or e-money ecosystem, now is the time to prepare.

AI Literacy workshop with the
Swedish Red Cross

Our ZeroGravity team, Erica Antonovic and Marcus Appeltofft, recently had the pleasure of leading an AI literacy workshop at the Swedish Red Cross, with a special focus on the AI Act.

Over two hours, we explored what the AI Act means in practice, how it connects to other tech regulations, and why it matters more than ever. The thoughtful questions and dynamic discussions reminded us of one important truth, understanding AI is no longer just for tech experts it’s for everyone.

And with the AI Act approaching, there's no better time to start.

Our annual Christmas Dinner

As the year drew to a close, we stepped away from the busy quarter and gathered for our annual Christmas Dinner. Trading the office intensity for the warm glow of candlelight, the evening was a perfect opportunity to disconnect and celebrate the collective hard work of the past year. Over a wonderful meal, we shared laughter and stories, reinforcing the bonds that drive us. We raised a glass to the sharp expertise and strong commitment of our team, feeling recharged and grateful for these moments of genuine connection before embracing the holiday season.

We sincerely thank you for your partnership and collaboration throughout the past year. As the holidays arrive, we wish you a season filled with peace, joy, and well-deserved rest.
We look forward to reconnecting with you - energized and ready - in January, and building on the success we've achieved together.
